1. NOT FINANCIAL ADVICE — EDUCATIONAL TOOL ONLY

The SGX Omni-Matrix Platform (hereinafter "Platform", "Service", or "Software") is strictly a data visualization, quantitative analytics, and educational tool. It is NOT a registered investment advisor, broker-dealer, fund manager, or Capital Markets Services (CMS) license holder under the Monetary Authority of Singapore (MAS), Securities and Futures Act (SFA), or Financial Advisers Act (FAA), nor under any equivalent regulatory body in any other jurisdiction worldwide.

All data, signals ("BUY/SELL" markers), proprietary scores (e.g., Timing Score, Core Factor Score, ML Win Probability), and AI-generated textual analyses are produced through automated algorithms, historical backtesting, and third-party large language models. The information does NOT constitute personalized financial, investment, legal, or tax advice. You should consult a qualified, MAS-licensed financial advisor before making any investment decisions.

2. UNILATERAL ASSUMPTION OF TRADING RISKS

You understand and irrevocably acknowledge that trading in financial markets, especially equities and derivatives listed on the Singapore Exchange (SGX), carries a high degree of risk and can result in the total loss of your capital. You are solely responsible for all trading decisions, order executions, brokerage selections, and financial outcomes resulting from your use of the Platform.

The developer (Derrick, hereinafter "Developer") and any associated affiliates, partners, contractors, or service providers shall have ZERO LIABILITY for any direct, indirect, incidental, consequential, special, exemplary, financial, or punitive damages arising from:

• Trading losses, margin calls, or portfolio drawdowns of any magnitude
• Actions taken (or not taken) based on the Platform's quantitative scores, AI reports, alerts, or entry/exit signals
• Missed investment opportunities, delayed order executions, or market timing errors
• Decisions influenced by AI-generated summaries, voice reports, or any automated analysis

3. AI HALLUCINATION & ALGORITHMIC ANOMALIES

The Platform integrates third-party Machine Learning engines and Deep Reasoning AI systems for analysis generation. You explicitly acknowledge that AI models are prone to "AI Hallucinations" — they may fabricate financial events, misinterpret numerical data, present outdated information as current, confidently assert incorrect market assumptions, or generate statistically invalid predictions.

All AI-generated content is provided on an "AS-IS" basis without warranties of accuracy, completeness, timeliness, or fitness for any particular purpose. You must manually cross-verify all AI outputs using independently verified financial instruments and official exchange data before making any trading decisions.

4. PAST PERFORMANCE DISCLAIMER

All backtested results, historical win rates, simulated portfolio returns, and statistical metrics displayed on this Platform are hypothetical in nature. Hypothetical or simulated performance results have inherent limitations: they are not indicative of future results and do not represent actual trading. Past performance is absolutely not indicative of future performance. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.

5. TECHNOLOGY, LATENCY & DATA FEED DISCLAIMER

The Platform relies on third-party APIs and data vendors for market data and analysis. We do NOT guarantee that the market feed is real-time, uninterrupted, error-free, or perfectly accurate. Data delays, sudden API disruptions, rate limiting, and infrastructure failures are inherent operational risks. The software is provided "AS-IS" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. SUBSCRIPTION FEES & REFUND POLICY

The Subscription Fee (Pro Monthly: USD $49/month, Elite Annual: USD $399/year) covers the cost of licensing the software interface, cloud computing API quotas, and access to premium analysis features. It does NOT imply a guarantee of predictive accuracy, financial success, investment returns, or professional human review of AI content.

Refund Policy:

• Annual Subscriptions (Elite): You may request a full refund within 14 calendar days of your original purchase date. After this period, annual fees are strictly non-refundable.
• Monthly Subscriptions (Pro): Monthly subscriptions are non-refundable under all circumstances. You may cancel at any time to prevent future billing cycles, but no pro-rata or partial refunds will be issued.
• One-Time Refund Right: Each account is entitled to ONE (1) lifetime refund. Once exercised, the refund right is permanently consumed and your account will be downgraded to Free tier.
• Anti-Abuse Enforcement: The payment method used for a refunded transaction will be permanently flagged. Any subsequent purchases using the same payment instrument — regardless of the email account used — will have their refund right automatically revoked.

7. MAXIMUM LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER ACCEPTS ZERO JOINT LIABILITY FOR ANY TRADING LOSSES, PORTFOLIO DRAWDOWNS, FINANCIAL DAMAGES, OR COMMERCIAL LOSSES OF ANY KIND RESULTING FROM YOUR USE OF THE PLATFORM. THE DEVELOPER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED ZERO DOLLARS ($0.00 USD / SGD) UNDER ALL CIRCUMSTANCES.

IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, REGARDLESS OF THE THEORY OF LIABILITY.

8. INDEMNIFICATION

You agree to fully indemnify, defend, and hold harmless the Developer and his affiliates, officers, employees, agents, and contractors from any and all claims, lawsuits, regulatory penalties, investigations, losses, damages, liabilities, costs, and expenses (including but not limited to reasonable legal fees) brought against them by you or any third party arising out of:

• Your use of or reliance upon the Platform or any information provided therein
• Your violation of any applicable laws, regulations, or these Terms (including MAS guidelines)
• Any dispute between you and your brokerage firm, financial advisor, or counterparty
• Your unauthorized use, reverse engineering, or redistribution of Platform data

9. IMMEDIATE REVOCATION & TERMINATION

The Developer retains absolute, sole, and unappealable authority to suspend, restrict, or permanently terminate your access to the Platform at any time, for any reason, without prior notice and without refund obligation. Grounds for termination include, but are not limited to: API abuse, automated scraping, reverse engineering, redistribution of proprietary data, fraudulent chargebacks, or any conduct deemed harmful to the Platform's integrity.

10. INTELLECTUAL PROPERTY

All proprietary scoring algorithms, AI analysis pipelines, quantitative models, user interface designs, and platform architecture are the exclusive intellectual property of the Developer. Unauthorized reproduction, reverse engineering, decompiling, or redistribution of any Platform component is strictly prohibited and may result in legal action.

11. GOVERNING LAW, JURISDICTION & BINDING ARBITRATION

These Terms shall be exclusively governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through binding individual arbitration conducted in Singapore in accordance with the Singapore International Arbitration Centre (SIAC) Rules. You irrevocably waive any right to participate in class action lawsuits, class arbitrations, or jury trials.

12. MODIFICATIONS TO TERMS

The Developer reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
